ITEM 12. RESULTS OF OPERATIONS AND FINANCIAL CONDITION

         On February 2, 2004, Thor Industries, Inc. (the "Company") issued a
press release announcing order backlog and preliminary sales for the second
quarter and six months ended January 31, 2004. A copy of the Company's press
release is attached hereto as Exhibit 99.1 and is incorporated by reference
herein.
