1   This amount includes 800,000 common shares par value 2.25 per share (the “Common Shares”) of CNH Global N.V. (the “Registrant”) available for issuance under the Registrant’s outside Directors’ Compensation Plan and 4,000,000 Common Shares available for issuance under the CNH U.S. Retirement Savings Plan. In addition, this Registration Statement shall also cover any additional shares of Common Stock which become issuable under the plans being registered pursuant to this Registration Statement by reason of any stock dividend, stock split, recapitalization or any other similar transaction effected without the receipt of consideration which results in an increase in the number of the Registrant’s outstanding shares of Common Stock.
 
2   Pursuant to Rules 457 (c) and 457 (h) under the Securities Act of 1933, as amended (the “Securities Act”) the Proposed Maximum Offering Price per Share and the Proposed Maximum Aggregate Offering Price for the 4,800,000 Common Shares available for purchase under the Plans are estimated solely for the purpose of calculating the registration fee, and are based on the average of the high and low prices of the Common Shares, on the New York Stock Exchange consolidated reporting system on April 21, 2004.

3   After reasonable efforts, the Registrant has not been able to obtain the written consent of Arthur Andersen LLP to the incorporation by reference of its reports for the year ending December 31, 2001 into this Registration Statement. The Registrant has dispensed with the requirement to file the written consent of Arthur Andersen LLP in reliance on Rule 437 a promulgated under the Securities Act. Because the Registrant has not been able to obtain the written consent of Arthur Andersen LLP, participants in the Plan will not be able to recover against Arthur Andersen LLP under Section 11 of the Securities Act for any untrue statements of material fact contained in the financial statements audited by Arthur Andersen LLP incorporated by reference herein or any omissions to state a material fact required to be stated therein.

                    Article 15 of the Articles of Association of Registrant provides that:

     “The company shall indemnify any and all of its directors or officers or former directors or officers or any person who may have served at its request as a director or officer of another company in which it owns shares or of which it is a creditor against expenses actually and necessarily incurred by them in connection with the defense of any action, suit or proceeding in which they, or any of them, are made parties, or a party, by reason of being or having been directors or officers or a former director or officer of the company, or of such other company, except in relation to matters as to which any such director or officer or former director or officer or person shall be adjudged in such action, suit or proceeding to be liable for negligence or misconduct in the performance of duty. Such indemnification shall not be deemed exclusive of any other rights to which those indemnified may be entitled otherwise.”

     The Registrant has obtained directors’ and officers’ liability insurance, which, subject to policy terms and limitations, includes coverage to reimburse the Registrant for amounts that it may be required or permitted by law to pay its directors or officers. In addition, the Registrant has entered into indemnification agreements with each of its outside directors and executive officers as approved by the Registrants’ shareholders at a general shareholders’ meeting in June 2000.
