Item 8.01. Other Events.

On February 21, 2008, GHL Acquisition Corp. (the “Company”) consummated its initial public offering (the “IPO”) of units, each unit (a “Unit”) consisting of one share of common stock (“Common Stock”), par value $0.001 per share, of the Company, and one warrant (a “Warrant”) to purchase one share of Common Stock, selling 40,000,000 Units at a public offering price of $10.00 per Unit, generating gross proceeds of $400,000,000.

Also on February 21, 2008, in connection with the IPO, the Company consummated a private placement of 8,000,000 Warrants (the “Private Placement Warrants”) to Greenhill & Co., Inc., the Company’s founding stockholder, at $1.00 per Private Placement Warrant, generating proceeds of $8,000,000 (the “Private Placement”).

The net proceeds from the IPO, less certain amounts for expenses and working capital and including deferred underwriting discounts and commissions, together with the proceeds from the Private Placement were deposited into a trust account at Wachovia Securities, LLC, to be maintained by American Stock Transfer & Trust Company, as described in the registration statement relating to the IPO filed with the Securities and Exchange Commission.

An audited balance sheet and the accompanying footnotes as of February 21, 2008 reflecting receipt of the proceeds upon consummation of the Private Placement and the IPO have been issued by the Company and are included as Exhibit 99.1 to this Current Report on Form 8-K.
