Item 8.01 Other Events.

On April 27, 2006, Regency Energy Partners LP, or the Partnership, announced the declaration on April 26, 2006 of a cash distribution with respect to all outstanding common and subordinated units of the Partnership in the amount of $0.2217 per unit payable on May 15, 2006 to holders of record on May 8, 2006. This amount constitutes the Partnership’s minimum quarterly distribution prorated for the period in the first quarter of 2006 since the Partnership’s initial public offering (February 3, 2006). A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
