Item 5.07 Submission of Matters to a Vote of Security Holders.
(d) American National Insurance Company (the “Company”) filed a Current Report on Form 8-K on May 4, 2011 (the “Original Report”) to report the final results for each of the matters submitted to a vote of the stockholders at its 2011 Annual Meeting of Stockholders held on April 29, 2011 (the “Annual Meeting”). The Company is filing this amendment to the Original Report to report that, consistent with the voting results at the Annual Meeting and the prior recommendation of the Board of Directors, the Company has determined to hold a non-binding, advisory vote on the compensation of the Company’s named executive officers every three years.
