     On March 18, 2010, The Hartford Financial Services Group, Inc. (the “Company”) issued a press release announcing the pricing of its offering of $1.1 billion aggregate principal amount of three series of its senior notes.
     The offering is scheduled to close on or about March 23, 2010.
     A copy of the press release is attached hereto as Exhibit 99.1 to this report and incorporated herein by reference.
