ITEM 5.02.   Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     (e) On September 30, 2009, the Compensation Committee of the Steelcase Inc. (the “Company”) Board of Directors approved an increase in the annual base salary of Mark A. Baker, the Company’s Senior Vice President, Global Operations Officer, from $437,000 to $460,000, effective as of September 1, 2009. Mr. Baker’s base salary will remain subject to a 10% reduction, which took effect on March 2, 2009 for a period of one year, resulting in a net annual base salary of $414,000.
