Entry into a Material Definitive Agreement. On December 30, 2005, the Board of Directors of Riviera Holdings Corporation (the "Company") adopted resolutions that accelerated the vesting and exercisability of outstanding common stock options previously awarded to directors Vincent DiVito, Paul Harvey, and Jeffrey Silver under the 1996 Nonqualified Stock Option Plan for Non-Employee Directors. Options granted in 2001 through 2003 to purchase 21,600 shares at an average exercise price of $2.15 are subject to this acceleration. As a condition of the acceleration and to prevent unintended personal benefit, on December 30, 2005, directors Vincent DiVito, Paul Harvey, and Jeffrey Silver have entered into agreements with the Company to refrain from exercising the accelerated options until the earliest date or dates on which they could have exercised such options prior to giving effect to the acceleration. Copies of the agreements are included in Exhibit 10.1 hereto. As a result of the acceleration, the Company expects to take a non-cash charge of approximately $60,000 in the fourth quarter of 2005 based on the closing price of the Company's stock on December 29, 2005. Due to the minimal effect on net earnings, it is not anticipated that the charge will affect the earnings per share calculation for the quarter or the year.
