Remarks:
On November 4, 2010, a Form 4 was timely filed on behalf of the reporting person to reflect the reporting person's exercise of stock options and sale of 6,000 shares of Common Stock. Due to a clerical error, the withholding of 610 and 2,382 shares of Common Stock by the Registrant in respect of payment of withholding tax liability and exercise price, respectively, incurred upon the exercise of the stock options was inadvertently omitted.  Accordingly, the Form 4 is being amended to reflect the withholdings.
