issued a press release (i) announcing the election of Chief Executive
Officer Jeffrey B. Kindler as Chairman of the Board effective December
19, 2006, (ii) announcing the declaration of a dividend on its common
stock of 29 cents per share payable on March 6, 2007 to shareholders of
record on February 9, 2007 and (iii) confirming certain previously announced
financial and product-development targets. The information contained in
