On March 21, 2007, Ronald M. Bentley was appointed by the Board of Directors to serve as a director of the Corporation, to hold office for a term expiring at the Annual Meeting of Shareholders held in 2010.

AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGES IN FISCAL YEAR.

On March 21, 2007, the Registrant adopted an amendment to its bylaws. The amendment revised Article III, Section 3 of the bylaws to increase the size of the Registrant's Board of Directors from twelve to thirteen.
