Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On April 4, 2007, Moscow CableCom Corp. (the "Company") received a Nasdaq Staff Determination letter indicating that, as a result of the delay in filing the Companys Annual Report on Form 10-K for the year ended December 31, 2006, the Company is not in compliance with the qualification requirements for continued listing as set forth in Marketplace Rule 4310(c)(14), and that its common stock is, therefore, subject to potential delisting from the Nasdaq Global Market.
The Company has requested a hearing before a Nasdaq listing Qualifications Panel to review the Staff Determination letter. There can be no assurance that the Panel will grant the Companys request for continued listing. The Company is working diligently to finalize and file its Form 10-K for the year ended December 31, 2006 to enable it to regain compliance with Nasdaqs listing requirements.
The Company announced the receipt of the Nasdaq Staff Determination letter in a press released dated April 10, 2007, which is attached hereto as Exhibit 99.1 and incorporated herein by reference.
Item 8.01. Other Events.
Also, on April 10, 2007, the Company issued a press release announcing information with respect to the growth of its homes passed network and the number of subscribers for its broadband services for the month of March 2007.
