Item 2.02. Results of Operations and Financial Condition.
 
 
On February 10, 2005, AMERCO held its investor call for the third quarter of fiscal year 2005. During this conference call, information regarding our results of operations and financial condition for the completed quarterly period ended December 31, 2004 was discussed. Exhibit 99.1 contains certain “non-GAAP financial measures” as defined in Item 10(e) of Regulation S-K of the Exchange Act. We describe these non-GAAP financial measures as “EBITDAR” (which represents pretax earnings before interest expense, depreciation and amortization and lease expense) and  “EBITDA” (which represents pretax earnings before interest expense, depreciation and amortization). While EBITDAR and EBITDA are not intended to represent cash flow from operations as defined by generally accepted accounting principles and should not be considered as an indicator of operating performance or an alternative to cash flow as a measure of liquidity, they are intended to provide additional information with respect to our ability to meet our future debt service, capital expenditures and working capital requirements. Exhibit 99.2 reconciles each of these non-GAAP financial measures to the most directly comparable financial measure calculated and presented in accordance with accounting principles generally accepted in the United States of America (“GAAP”). Investors should note that these non-GAAP financial measures involve judgments by management. We use EBITDAR and EBITDA to measure our performance internally in reports for management.
