Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal
Year.

           On January 22, 2008, the Board of Directors (the “Board”) of New Jersey Resources Corporation (the “Company”) approved an amendment to the first paragraph of Article 4 of the Company's Articles of Incorporation increasing the number of authorized shares of common stock from 50,000,000 to 75,000,000 and the aggregate amount of shares authorized to be issued by the Company from 50,400,000 to 75,400,000, effective March 3, 2008.  The amendment was approved by the Board without shareholder action pursuant to New Jersey Business Corporations Act Section 14A:7-15.1(3) in connection with the Company’s three-for-two common stock split.
 
     Attached hereto as Exhibit 3.1 is the Certificate of Amendment of the Articles of Incorporation of the Company.
