Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
The Compensation Committee of the Board of Directors of Diebold Nixdorf, Incorporated approved one-time cost synergy performance based share awards (the “Synergy Grants”) to certain executives, including certain named executive officers, on February 7, 2017. The Synergy Grants are intended to incentivize the accelerated achievement of cost reductions and scale efficiencies made possible by the business combination with Wincor Nixdorf Aktiengesellschaft. The grants have a three year performance period ending December 31, 2019, and 50% of the target shares may vest before this date if target cost synergy goals are achieved earlier. Target award values were set as a multiple of base salary. The Synergy Grants were made under our 1991 Equity and Performance Incentive Plan, as amended, and were effective February 8, 2017. This summary is qualified by reference to the form of award agreement attached to this report as Exhibit 10.1.
