ITEM 8.01 OTHER EVENTS.
On April 26, 2012, the registrant issued a press release announcing that Hardy Underwriting Bermuda Limited (Hardy) shareholders have voted to approve the registrant’s proposed acquisition of Hardy. The acquisition is expected to close by the end of the second quarter of 2012, subject to regulatory approvals. The press release is furnished as Exhibit 99.1 to this Form 8-K.
