Item 5.07.     Submission of Matters to a Vote of Security Holders.
NMI Holdings, Inc.'s (the "Company") Annual Meeting of Stockholders was held on May 10, 2018. On March 16, 2018, the record date for the Annual Meeting, 65,145,261 shares of the Company’s common stock were outstanding and entitled to vote, of which 93% were present for purposes of establishing a quorum.
