On November 6, 2012, First California Financial Group, Inc. (the “Company”) and PacWest Bancorp (“PacWest”) announced that they had entered into a definitive agreement, dated as of November 6, 2012, providing for the merger of the Company with and into PacWest (the “Merger”). A copy of the press release relating to the Merger is attached hereto as Exhibit 99.1.
