Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

(a)      On December 11, 2007, the Board of Directors of Anthracite Capital, Inc. (the "Company") approved an amendment to Article VI, Sections 1 and 2 of the Company's Bylaws, effective December 11, 2007.  In light of recent Direct Registration System eligibility requirements, the amendment clarifies that the Company's shares may be issued without certificates.

A copy of the Amended and Restated Bylaws of the Company, effective December 11, 2007, is filed as Exhibit 3.1 hereto and incorporated herein by reference.
