(b) On January 16, 2014, C. Michael Armstrong notified the Board of Directors (the “Board”) of IHS Inc. (“IHS” or “us” or “we” or “our”) that he intends to retire as a director of the IHS Board and does not wish to seek reelection at our 2014 Annual Meeting of Stockholders. Accordingly, Mr. Armstrong will not be nominated by the Board for election at our 2014 Annual Meeting, and Mr. Armstrong's term as a director will end when his current term expires at our 2014 Annual Meeting.
