On August 21, 2007, UnitedHealth Group Incorporated (the "Company") issued a press release announcing the resignation of Richard H. Anderson and Lois E. Quam, named executive officers of the Company. Mr. Anderson and Ms. Quam communicated their decisions to the Company on August 16, 2007 and August 15, 2007, respectively. A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated in this Item 5.02(b) by reference.
