Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On February 10, 2005, Mary Agnes Wilderotter, a director of the Company, notified the board of directors that she does not intend to stand for re-election at the Company's annual meeting in May 2005. Ms. Wilderotter's decision was based on her employment, as of November 1, 2004, as Chief Executive Officer of Citizens Communications Co., a customer of the Company.
