Item 8.01.

Other Events.

On March 5, 2019, we received a civil investigative demand, or CID, from the United States Department of Justice pursuant to the Federal False Claims Act regarding assertions that certain of our payments to pharmacy benefit managers, or PBMs, were potentially in violation of the Anti-Kickback Statute. The CID requests certain documents and information related to our payments to PBMs, pricing and our patient assistance program regarding DUEXIS, VIMOVO and PENNSAID 2%. We intend to cooperate with the investigation. While we believe that our payments and programs are compliant with the Anti-Kickback Statute, no assurance can be given as to the timing or outcome of the DOJ’s investigation, or that it will not result in a material adverse effect on our business.
