ITEM 5.07. Submission of Matters to a Vote of Security Holders.

On June 6, 2018, American Eagle Outfitters, Inc. (the “Company”) held its annual meeting of stockholders in New York, New York (the “Annual Meeting”). As of April 11, 2018, the Company’s record date, there were a total of 176,182,848 shares of Common Stock outstanding and entitled to vote at the Annual Meeting. At the Annual Meeting, 163,109,574 shares of Common Stock were represented in person or by proxy and, therefore, a quorum was present.

The stockholders of the Company voted on the following:

1. To elect three Class II directors to serve until the 2021 Annual Meeting of Stockholders;

2. To ratify the appointment of Ernst & Young LLP as the Company’s independent registered public accounting firm for the fiscal year ending February 2, 2019; and

3. To approve, on an advisory basis, the compensation of our named executive officers.
