Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
Effective December 5, 2017, the Board of Directors of Waters Corporation (the Corporation) amended and restated the Corporations Amended and Restated Bylaws (the Bylaws) to add a new Section 13 under Article I of the Bylaws containing provisions regarding proxy access. The amendment permits a stockholder who has, or a group of up to 20 stockholders who have, owned at least 3% of the Corporations outstanding common stock for at least three years to nominate and include in the Corporations proxy materials the greater of two individuals or up to 20% of the number of directors then serving, provided that the nominating stockholder or stockholder group and the nominees satisfy the requirements specified in the Bylaws, and otherwise subject to the terms set forth in the Bylaws.
The Corporation also amended Article I, Section 10 of the Bylaws to require any director nominated thereunder to provide a representation to the Corporation that, if elected, he or she intends to serve as a director for the full term for which such person is standing for election. In addition, the amendment to the Bylaws includes additional conforming and other changes related to the adoption of the proxy access provisions, as well as certain other ministerial changes.
