The following was made available on the Sprint employee website on May 30, 2013:

Today marks an important milestone in the process of gaining government approval for the proposed transaction between Sprint and SoftBank. We announced today that the Committee on Foreign Investment in the United States (CFIUS) has completed its investigation of the proposed transaction and has found no unresolved national security issues. With this clearance, the Federal Communications Commission (FCC) is free to complete its review of the transaction.

The final steps before the Sprint/SoftBank transaction can be completed are receiving approval from the FCC and Sprint shareholders. The Sprint shareholder vote is scheduled for June 12.

Sprint and SoftBank anticipate the merger will be completed in July 2013, subject to the remaining approvals. In addition, the merger may be impacted by the actions of the Special Committee of Sprint’s board of directors established to review an unsolicited proposal from DISH. The Special Committee is currently in discussions and negotiations with DISH Network Corporation. Sprint’s board of directors continues to recommend its stockholders vote in favor of the transaction with SoftBank.
