Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Election of Director

On February 7, 2013, the Board of Directors of Verizon Communications Inc. (Verizon) elected Gregory D. Wasson, President and Chief Executive Officer of Walgreen Co., as a director, effective March 1, 2013. As a director, Mr. Wasson will participate in the compensation program applicable to all non-employee directors, which is described under the heading “Non-Employee Director Compensation” in Verizon’s definitive proxy statement on Schedule 14A, filed with the Securities and Exchange Commission on March 19, 2012, except that for all non-employee directors the current annual cash retainer is $100,000 and the annual grant of Verizon share equivalents is valued at $150,000 on the grant date.  Mr. Wasson has not yet been named to a Board committee.
