Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 17, 2012, Dr. Patricia Albjerg Graham notified Apache Corporation (“Apache”) of her intention to retire from her position as a director of Apache, effective as of Apache’s 2013 Annual Meeting. Dr. Graham is a member of the Corporate Governance and Nominating Committee of Apache’s board of directors. In the letter notifying Apache of her retirement, Dr. Graham indicated that she did not have any disagreement with Apache or its management on any matter relating to Apache’s operations, policies, or practices. Dr. Graham, age 77, has served on the Apache board for more than 10 years.
