The transaction valuation was calculated by adding: (i) the product of (x) 268,775,068 (the number of shares of outstanding common stock of Genzyme Corporation (the “Shares”) as of March 21, 2011 plus the number of Shares underlying Genzyme’s outstanding restricted stock units as of March 21, 2011 and the number of shares of common stock issuable in respect of Genzyme’s employee stock purchase plan for the first quarter of 2011 estimated as of March 22, 2011 and (y) the sum of (A) $74.00 (the amount of the cash consideration per share payable in the exchange offer and the merger) and (B) $1.69 (the result of $75.69, the average of the high and low prices of the Shares as reported on the NASDAQ Global Select Market on March 21, 2011, less $74.00, such amount, the “Attributed CVR Value”); and (ii) the sum of (A) the product of (x) 15,522 (the number of Shares issuable in respect of certain outstanding rights to purchase Shares as of March 21, 2011) and (y) $57.49 (the sum of (I) the Attributed CVR Value and (II) the difference between $74.00 and $18.20, the exercise price of such rights) and (B) the product of (x) 22,691,145 (the number of Shares issuable upon exercise of outstanding Genzyme options with an exercise price less than $74.00 as of March 21, 2011) and (y) $20.7467 (the sum of (I) the Attributed CVR Value and (II) the difference between $74.00 and $54.9433, the weighted-average exercise price of such options). The calculation of the filing fee is based on Genzyme’s representation of its capitalization delivered on March 22, 2011. This represented an increase in the transaction value of $106,300,788 as compared with the transaction value as set forth in the amendment to


 

Schedule TO filed by sanofi-aventis on March 7, 2011.

 

(2) The filing fee was calculated in accordance with Rule 0-11 under the Securities Exchange Act of 1934, as amended, by multiplying the increase in the transaction value by 0.00011610, and adding the resulting amount to the fee amount of $1,582,156 previously paid in connection with the filing by sanofi-aventis of the Schedule TO on October 4, 2010, the Registration Statement on Form F-4 on March 7, 2011 and Amendment No. 19 to the Schedule TO dated March 7, 2011.

$1,308,472 was paid in connection with the filing by sanofi-aventis of the Schedule TO on October 4, 2010. $50,730 was paid in connection with the filing by sanofi-aventis of the Registration Statement on Form F-4 on March 7, 2011. $222,954 was paid in connection with the filing by sanofi-aventis of Amendment No. 19 to the Schedule TO dated March 7, 2011. $487 was paid in connection with the filing by sanofi-aventis of Amendment 2 to the Registration Statement on Form F-4 on March 24, 2011. $11,855 was paid in connection with the filing by sanofi-aventis of Amendment No. 22 to the Schedule TO dated March 24, 2011.

This Amendment No. 24 (this “Amendment”) amends the Tender Offer Statement on Schedule TO filed with the U.S. Securities and Exchange Commission (the “SEC”) on October 4, 2010, as amended and restated on March 7, 2011 (which, as so amended and restated and together with any amendments and supplements thereto, collectively constitute the “Schedule TO”) and is filed by (i) GC Merger Corp., a Massachusetts corporation (the “Purchaser”), and a wholly-owned subsidiary of sanofi-aventis, a French société anonyme (“Parent”) and (ii) Parent. This Schedule TO relates to the third party tender offer by Purchaser to exchange each of the issued and outstanding shares of common stock, par value $0.01 (each, a “Share”), of Genzyme Corporation, a Massachusetts corporation (“Genzyme”), for (i) $74.00 in cash, less any applicable withholding for taxes and without interest and (ii) one Contingent Value Right (each, a “CVR”) upon the terms and subject to the conditions set forth in the Prospectus/Offer to Exchange (as defined below), and in the related letter of transmittal (the “Letter of Transmittal”) (the offer reflected by such terms and conditions, as they may be amended or supplemented from time to time, constitutes the “Exchange Offer”).

On March 28, 2011, Parent filed Amendment No. 3 to its Registration Statement on Form F-4 (file no. 333-172638) relating to the offer and sale of the CVRs to be issued to holders of Genzyme common stock in the Exchange Offer. The terms and conditions of the Exchange Offer are set forth in the prospectus/offer to exchange, which is part of the Registration Statement (the “Prospectus/Offer to Exchange”), and the related Letter of Transmittal, which are set forth as Exhibit (a)(4) and Exhibit (a)(1)(A) hereto, respectively.

Item 11 of the Schedule TO is hereby supplemented by adding the following:

On March 18, 2011, plaintiff in the West Palm Beach Action filed an emergency motion to intervene in the consolidated Massachusetts state court action, which motion was denied on March 23, 2011. In its March 23 order, the court also transferred the West Palm Beach Action from Middlesex County to Suffolk County, Massachusetts and consolidated it with the consolidated Massachusetts state court action.

Also on March 23, 2011, the court denied IBEW’s emergency motion to consolidate the IBEW Action with the consolidated Massachusetts state court action and to appoint IBEW lead plaintiff.

Also on March 23, 2011, the court granted plaintiffs’ emergency motion in the consolidated Massachusetts state court action for leave to supplement their Consolidated Class Action Complaint, but denied plaintiffs’ additional request for expedited discovery, holding, among other things, that the supplement does not present a “sufficiently colorable claim” to merit expedited discovery. Subsequent to the court’s ruling, plaintiffs indicated that they would not seek to preliminarily enjoin the Exchange Offer and the Merger. On March 24, 2011, plaintiffs filed an emergency motion for a preliminary injunction to “escrow a portion of the acquisition proceeds for the payment of plaintiffs’ counsel’s attorneys’ fees and expenses.” The motion sought an order requiring that $1.9 million of the amounts otherwise payable to Genzyme’s shareholders in the Exchange Offer and the Merger be placed in escrow pending a hearing on a purportedly forthcoming application by plaintiffs for an award of attorneys’ fees and expenses. On March 30, 2011, the court denied plaintiffs’ emergency motion for a preliminary injunction to “escrow a portion of the acquisition proceeds for the payment of plaintiffs’ counsel’s attorneys’ fees and expenses.”

On March 22, 2011, plaintiffs in the consolidated Massachusetts federal court action moved for leave to file a Second Amended Class Action Complaint, which, among other things, would add Parent as a defendant and add allegations that the members of Genzyme’s Board and Genzyme’s Chief Financial Officer violated Sections 14(a) and 20(a) of the Securities Exchange Act of 1934 and breached their fiduciary duties by issuing a false and misleading 14D-9, and that Parent aided and abetted the alleged breaches of fiduciary duty. The Second Amended Class Action Complaint would seek, among other things, an order certifying a plaintiff class consisting of all public Genzyme shareholders, equitable relief to remedy the alleged misconduct, and an award of attorneys’ fees and costs of litigation. Subsequent to the filing of their motion for leave, however, plaintiffs indicated that they would not seek to preliminarily enjoin the Exchange Offer and the Merger.
