Item 7.01. Regulation FD Disclosure

In anticipation of meetings that representatives of American Water Works Company, Inc. (the “Company”) have scheduled to hold with investors during the period of March 10, 2011 through March 23, 2011, the Company is reaffirming its earnings guidance for 2011.

The Company reaffirms its estimate that its 2011 earnings will be in the range of $1.65 to $1.75 per share. The Company anticipates that it may reiterate its earnings guidance during the meetings referenced above. Following conclusion of the meetings on March 23, 2011, the earnings guidance should be considered as historical, speaking only as of and prior to March 23, 2011, and not subject to an update by the Company.
