Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation Arrangements of Certain Officers.

On October 21, 2008, the Compensation Committee of the Board of Directors of Office Depot, Inc. (the “Company”) approved a one-time cash award in the amount of $250,000 (the “Award”) to be paid to Charles E. Brown, President of the Company’s International Division. The Award was provided to Mr. Brown in recognition for his service as acting Chief Financial Officer while continuing to perform his duties as the President of the Company’s International Division. Mr. Brown assumed the position of acting Chief Financial Officer on March 1, 2008 and served in the position until August 27, 2008, when the Company appointed Michael D. Newman to serve as the Company’s new, and current, Chief Financial Officer.
