Item 1.01. Entry into a Material Definitive Agreement; Item 1.03. Bankruptcy or Receivership.

On June 30, 2008, Ampex Corporation (the “Company”) and certain of its U.S. subsidiaries (together with the Company, the “Debtors”) entered into a letter agreement dated June 24, 2008 with certain of their creditors amending the Plan Support Agreement previously filed with the United States Bankruptcy Court for the Southern District of New York (the “Bankruptcy Court”). The letter agreement extends until August 15, 2008 the deadline to hold the confirmation hearing for the Debtors’ chapter 11 Plan of Reorganization (the “Plan”). There are a number of risks and uncertainties relating to confirmation of the Plan and the bankruptcy process generally. Accordingly, there can be no assurance that the Plan will be confirmed by the extended deadline or that the Debtors will be able to satisfy all of the other conditions of the Plan Support Agreement. A copy of the amendment is attached as Exhibit 10.1 to this report and is incorporated herein by reference.
