On October 29, 2004 pursuant to authority granted by the Compensation and Management Development Committee of the Board of Directors, the Registrant granted to Nickolas W. Vande Steeg, the President, Chief Operating Officer and a Director of the Registrant, 10,000 restricted shares of the Registrant’s common stock subject to the terms and conditions set forth in Exhibit 10(a) to this report and incorporated herein by reference.
