Disclosure . . . when a director retires, resigns, is removed or refuses to stand for re-election for any reason other than as a result of a disagreement or for cause. Effective September 22, 2004, James R. Elsesser resigned as Chairman and Chief Executive Officer of Interstate Bakeries Corp., which filed for Chapter 11 bankruptcy protection on that date. In accordance with UMB Financial Corporation's Corporate Governance Guidelines, Mr. Elsesser notified UMB Financial Corporation that he was resigning as a director of the corporation, effective immediately, because of this change in personal circumstances. Mr. Elsesser served on the audit committee of the board of directors and as the designated financial expert of the audit committee. The board of directors does not have an independent financial expert to serve in Mr. Elsesser's stead, and is searching for a qualified replacement |
