The Registrant is unable to file its annual report on Form 10-K for the year ended June 30, 2011 with the Securities and Exchange Commission (“SEC”) in a timely manner because it is unable to complete the preparation of its financial statements by the filing due date without unreasonable effort or expense. However, the Registrant intends to file the Form 10-K with the SEC as soon as practicable, and will make every effort to file the Form 10-K within the fifteen-day extension period afforded by SEC Rule 12b-25 under the Securities Exchange Act of 1934, as amended.
