(1) Represents the sale of 47,000 shares in 67 separate transactions, ranging from $71.45 to $72.44 per share, resulting in a weighted average sale price per share of $71.831. The Reporting Person undertakes to provide upon request by the SEC staff, the Issuer, or a security holder of the Issuer, full information regarding the number of shares sold at each separate price within the range.
(2) Represents the sale of 4,200 shares in 25 separate transactions, ranging from $72.47 to $73.36 per share, resulting in a weighted average sale price per share of $72.769. The Reporting Person undertakes to provide upon request by the SEC staff, the Issuer, or a security holder of the Issuer, full information regarding the number of shares sold at each separate price within the range.
(3) These shares are held in trust for the benefit of the Reporting Person's children.
(4) Represents options to purchase the Issuer's Class A Common Stock, $0.001 par value ("Common Stock").
(5) An option to purchase 150,000 shares of the Issuer's Common Stock was issued to the Reporting Person under the Issuer's 2005 Omnibus Equity Plan. 37,500 shares of Common Stock became exercisable on each of October 18, 2008, October 18, 2009 and October 18, 2010, and an additional 37,500 shares will become exercisable on October 18, 2011.
