Item 2.02.
Results of Operations and Financial Condition.

On October 28, 2010, Luby's, Inc. (the “Company”) issued a press release announcing the results of the fourth quarter and fiscal year ended August 25, 2010.  The Company also held on October 28, 2010 a conference call discussing the results of the fourth quarter and fiscal year ended August 25, 2010.  A copy of the unedited transcript from that conference call is attached as Exhibit 99.1.
