Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 13, 2012, Independent Bank named Stefanie M. Kimball as Executive Vice President and Chief Risk Officer. Ms. Kimball will lead the company's enterprise wide risk management efforts.  Prior to such designation, Ms. Kimball served as Executive Vice President and Chief Lending Officer of the bank.  Concurrently, James Mack was promoted from Senior Vice President to Executive Vice President and Chief Lending Officer.
