Item 5.05.             Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.

 

On February 13, 2018, the Board of Directors of Strayer Education, Inc. (the “Company”), at the recommendation of the Audit Committee of the Board, adopted and approved an amendment to the Code of Business Conduct (“Code”) expressly prohibiting a Section 16 Reporting Person, Trustee, Key Employee or members of such individual’s immediate family or household from pledging any Company securities as collateral for a loan.

 

The description of the amendment to the Code contained in this report is qualified in its entirety by reference to the full text of the Code filed as Exhibit 14.1 to this Current Report on Form 8-K.
