ITEM 1.01       ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

 

On January 14, 2010, Berry Petroleum Company (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with Credit Suisse Securities (USA) LLC (“Credit Suisse”) and J.P. Morgan Securities Inc., as representatives of the underwriters named therein (collectively, the “Underwriters”), in connection with an underwritten public offering of 8,000,000 shares (the “Shares”) of the Class A Common Stock, par value $0.01 per share, of the Company (the “Common Stock”).  The Underwriters were also granted an option to purchase an additional 1,200,000 shares of Common Stock to cover over-allotments exercisable in whole or in part at any time within 30 days of January 14, 2010.  The offer and sale of the Shares is registered under the Securities Act of 1933, as amended (the “Securities Act”) pursuant to a Registration Statement on Form S-3 (Registration No. 333-161243) filed by the Company on August 11, 2009.  Issuance and delivery of the Shares is expected to occur on January 21, 2010, subject to customary closing conditions.

 

Each of the Company and its directors and executive officers have agreed, subject to certain exceptions, not to offer or sell any other Common Stock for a period of 90 days after January 14, 2010 without the prior consent of Credit Suisse. In addition, the Company has agreed to indemnify the Underwriters against certain liabilities, including liabilities under the Securities Act, or contribute to payments that the Underwriters may be required to make in respect of those liabilities. The Underwriting Agreement contains other terms and conditions that are generally customary for transactions of this nature. A copy of the Underwriting Agreement is filed as Exhibit 1.1 to this report and is incorporated herein by reference.  The foregoing description of the terms of the Underwriting Agreement is qualified in its entirety by the Underwriting Agreement.
