On May 21, 2007, the Board of Directors of Bed Bath & Beyond Inc. (the “Company”) elected Patrick Gaston to serve on the Company’s Board of Directors, effective immediately.

On May 22, 2007, the Company issued a press release announcing Mr. Gaston’s appointment, which is attached hereto as Exhibit 99.1 and is incorporated by reference into this Item 5.02.
