Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On February 14, 2007, Activision, Inc. (the Company) received a Nasdaq Staff Determination Letter indicating that the Companys failure to timely file its Quarterly Report on Form 10-Q for the quarter ended December 31, 2006 (the Form 10-Q), in violation of Nasdaq Marketplace Rule 4310(c)(14), serves as an additional basis for delisting the Companys common stock from The Nasdaq Stock Market.
However, as previously announced, the Nasdaq Listing Qualifications Panel has granted the Companys request for continued listing on The Nasdaq Select Market, provided that, among other things, the Company becomes current in its delinquent periodic reports on or before May 9, 2007.
The Company intends to satisfy all conditions of the continued listing of its securities, including the filing of its Quarterly Reports on Form 10-Q for the quarters ended September 30, 2006 and December 31, 2006 on or before May 9, 2007, but there can be no assurance it will do so. In the event it is unable to do so, the Companys common stock may be delisted.
