EXPLANATORY NOTE: DEREGISTRATION OF SECURITIES

 

On December 12, 2003, Intellisync Corporation, a Delaware corporation (the “Company”), filed a registration statement on Form S-8 (No. 333-111141) (the “Registration Statement”), which registered 1,500,000 shares of common stock of the Company, par value $0.001 per share (the “Common Stock”), to be offered or sold pursuant to the Restricted Stock Option Agreement, dated as of June 14, 2002, between the Company and Woodson M. Hobbs (filed as Exhibit 10.11 to the Company’s Annual Report on Form 10-K filed on October 17, 2002) (the “Agreement”).

 

On February 10, 2006 (the “Merger Date”), pursuant to an Agreement and Plan of Merger, dated as of November 15, 2005, among the Company, Nokia Inc., a Delaware corporation (“Nokia”), and Jupiter Acquisition Corporation, a Delaware corporation and wholly-owned subsidiary of Nokia (“Merger Sub”), Merger Sub merged with and into the Company, and the Company became a wholly-owned subsidiary of Nokia (the “Merger”).  On February 10, 2006, the Company filed a certification and notice of termination of registration on Form 15 with respect to the Common Stock.

 

As a result of the Merger, the Company has terminated all offerings of the Company’s securities pursuant to its existing registration statements, including the Registration Statement. Accordingly, pursuant to the undertaking contained in the Registration Statement to remove from registration by means of a post-effective amendment any of the securities being registered which remain unsold at the termination of the offering, the Company is filing this Post-Effective Amendment No. 1 to the Registration Statement to deregister all the shares of the Company’s Common Stock reserved for issuance under the Agreement which remain unissued on the Merger Date.
