Item 2.02 Results of Operations and Financial Condition

 

On January 19, 2005, Amphenol Corporation issued a press release setting forth Amphenol Corporation’s fourth quarter and full year 2004 earnings. A copy of Amphenol Corporation’s press release is attached hereto as Exhibit 99.1.

On January 19, 2005, Amphenol Corporation issued a press release announcing that it will commence payment of a quarterly dividend on its common stock.  A copy of Amphenol Corporation’s press release is attached hereto as Exhibit 99.1.
