Management has worked diligently to assemble the third party confirmations
and other information regarding the Registrant's oil and gas operations
necessary to complete the report, but has been unable to do so timely.

     The Registrant's loss for the year ended December 31, 2001, is estimated to
     be approximately $(600,000), as compared to a net loss of $(1,731,765)
     recognized during the year ended December 31, 2000. These amounts are not,
     however, comparable. The Registrant completed a reverse acquisition in
     early 2001. Prior year operations (2000) reflected a loss consisting
     principally of a $1.65 million bonus paid in connection with the Product
     Liability Trust Distribution. Results reported for 2001 will consist of
     operations relating to oil and gas investments and the financial statements
     to be included in the 2001 Form 10KSB will reflect a restatement of 2000
     operations to reflect those of the accounting acquirer. Those operations
     consisted of start-up operations associated with the oil and gas
     investments.
