Item 3.02   Unregistered Sales of Equity Securities

On June 24,  2008,  the  Company  issued to  FirsTrust  Group,  Inc.  three-year
warrants to purchase  75,000  shares of the  Company's  common stock at $2.8 per
share and three-year  warrants to purchase 75,000 shares of the Company's common
stock  at  $3.6  per  share.   The  Company  issued  these  warrants  as  equity
compensation  under the  Consulting  Agreement and the  Supplementary  Agreement
entered  into between the Company and  FirsTrust  China Ltd.  (the  wholly-owned
subsidiary of FirsTrust Group, Inc.).

On June 24, 2008,  the Company  issued to Hayden  Communications  International,
Inc. three-year warrants to purchase 25,000 shares of the Company's common stock
at $3.0 per share and  three-year  warrants  to  purchase  25,000  shares of the
Company's  common stock at $3.5 per share.  The Company issued these warrants as
equity  compensation under the Investor Relations  Consulting  Agreement entered
into between the Company and Hayden Communications International, Inc.

All the warrants described above were issued in reliance upon the exemption from
registration  under the Securities Act 1933 (the "Act") provided by Section 4(2)
thereof  and  Rule  506  thereunder  and  exemptions  from  registration   under
applicable state securities laws.
