(1) Disposition of Class A Common Stock to the Issuer solely to cover tax withholding obligations arising from the vesting of the previous grant of restricted shares.
(2) Includes shares acquired under the company's Associate Stock Purchase Plan.
(3) Each RSU represents a contingent right to receive one share of the Issuer's Class A Common Stock.
(4) 483 of 2,418 RSUs granted on October 20, 2017 will vest on each of October 20, 2018, and October 20, 2019, and 484 RSUs will vest on each of October 20, 2020, October 20, 2021, and October 20, 2022, provided that the Reporting Person remains continuously employed by the Issuer through each applicable vesting date. The vested shares will be delivered to the Reporting Person upon vesting.
(5) Represents options to purchase the Issuer's Class A Common Stock, $0.001 par value ("Common Stock").
(6) An option to purchase 12,857 shares of the Issuer's Common Stock was issued to the Reporting Person under the Issuer's 2005 Omnibus Incentive Plan. 3,214 shares of Common Stock become exercisable on each of October 20, 2018, October 20, 2019, and October 20, 2020, and 3,215 shares of Common Stock become exercisable on October 20, 2021.
