Item 5.02 - Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
(b) On July 21, 2006, Steven Weinstein resigned, effective as of such date, from his position as a director of Majesco Entertainment Company as a result of a change in his employment that presented conflicts with his ability to continue to serve on the Board of Directors. Mr. Weinstein was appointed to the Board of Directors on April 28, 2006.
