Item 2.02. Results of Operations and Financial Condition.

On January 24, 2006, Presstek, Inc. (the “Company”) announced preliminary information related to its revenues for the fourth quarter of its fiscal year ended December 31, 2005. The press release related to this announcement is attached as Exhibit 99.1. These preliminary results are subject to revision until the Company reports its final audited results for the fiscal year ended December 31, 2005.
