The Registrant is presently undertaking significant reorganization and restructuring efforts, and on May 14, 2003 the Registrant and certain of its U.S.-based subsidiaries filed voluntary petitions for relief under Chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the Southern District of New York, In re: NRG ENERGY, INC., et. al., Case No. 03-13024 (PCB) (Bankr. S.D.N.Y., May 14, 2003). As a result, the Registrant has been unable to complete the work necessary to accomplish the filing in a timely manner.
